These Terms govern your use of the Aelora software platform.
By creating an account or using the Services, you agree to these Terms.
2. Services
Aelora provides cloud-based software designed to assist businesses including insurance advisers and other professional advisers.
Features may change over time.
3. Accounts
You agree to:
- provide accurate information;
- maintain the security of your login credentials;
- notify us of unauthorised access;
- ensure users comply with these Terms.
You are responsible for all activity occurring under your account.
4. Customer Data
You retain ownership of all information uploaded into Aelora.
You grant Aelora a limited licence to host, process, back up and transmit your information solely for providing the Services.
5. Acceptable Use
You must not:
- break any law;
- upload malicious software;
- interfere with the platform;
- attempt unauthorised access;
- reverse engineer the software;
- use automated scraping tools;
- infringe intellectual property rights;
- use the Services to distribute spam.
6. Artificial Intelligence
AI-generated outputs are intended to assist users only.
They do not constitute legal, financial, insurance, tax or professional advice.
Users must independently review all AI-generated content before relying upon it.
7. Availability
We aim to maintain high service availability but do not guarantee uninterrupted operation.
Maintenance may occasionally require temporary outages.
8. Fees
Subscription fees are payable in accordance with your selected plan.
Failure to pay may result in suspension or termination of Services.
9. Intellectual Property
All software, source code, designs, branding, documentation and platform content remain the intellectual property of Aelora.
No ownership rights are transferred to customers.
10. Confidentiality
Each party agrees to keep confidential information secure and not disclose it except:
- where required by law;
- with consent;
- to approved subcontractors under confidentiality obligations.
11. Data Security
We implement reasonable security measures but cannot guarantee absolute security.
Customers remain responsible for:
- user permissions;
- password management;
- information entered into the system;
- compliance with applicable privacy obligations.
12. Backups
We perform routine backups for disaster recovery.
Customers should maintain copies of any information critical to their business.
13. Third-Party Integrations
The Services may integrate with third-party providers.
Aelora is not responsible for outages or changes made by those providers.
14. Limitation of Liability
To the maximum extent permitted by law:
- Aelora excludes liability for indirect, incidental or consequential losses, including loss of profits, revenue, goodwill or data.
- Aelora's aggregate liability arising from the Services is limited to the fees paid by the customer during the 12 months immediately preceding the claim.
Nothing in these Terms limits liability that cannot legally be excluded under New Zealand law.
15. Warranties
The Services are provided "as is" and "as available."
Except as required by law, Aelora does not warrant that the Services will be uninterrupted, error-free or suitable for every purpose.
16. Suspension and Termination
We may suspend or terminate accounts where:
- these Terms are breached;
- payment remains overdue;
- continued use creates security risks;
- required by law.
Customers may terminate their subscription in accordance with their subscription plan.
17. Effect of Termination
Upon termination:
- access to the Services may cease;
- customer data may be made available for export for a limited period where practicable;
- data may subsequently be deleted in accordance with our retention policy.
18. Governing Law
These Terms are governed by the laws of New Zealand.
The courts of New Zealand have exclusive jurisdiction.
19. Changes
We may amend these Terms from time to time.
Material changes will be notified through the platform or by email.
Continued use of the Services constitutes acceptance of the updated Terms.
